Description
A leading global investment management firm is seeking a talented and experienced Funds Lawyer to join our legal team and support their existing and growing portfolio of investment funds. This is an excellent opportunity for an experienced candidate to enter an established team and take on a leadership position.
Key Responsibilities:
- Provide expert SME legal advice on fund formation, structuring, and governance. Assist in drafting, negotiating, and reviewing fund documents, including prospectuses, offering memoranda and partnership agreements.
- Ensure firm’s fund suit complies with applicable global and regional regulations and other relevant jurisdictions. Monitor regulatory changes and updates and advise on their impact on the firm’s fund operations
- Conduct legal due diligence for new fund launches, acquisitions, and merges. Identify and mitigate potential legal risks associated with fund operations.
- Prepare and maintain accurate legal documentation and records for all fund-related activities. Ensure all fund filings and regulatory reports are completed accurately and on time.
- Review and negotiate service provider agreements, investment management agreements, and other fund-related contracts.
- Act as lead transaction counsel on deals, managing transaction execution and reviewing / negotiating a full range of deal documentation.
- Take responsibility for any disputes in relations to fund operations, as well as investor disputes and regulatory enquires.
Candidate Profile:
- Professional background will include previous post-admission experience of 3-6 years, with the majority spent at a leading international law firm or in-house at an asset management firm.
- In-house secondments are an advantage but not a prerequisite.
- Strong understanding of fund structures, investment products, and relevant regulations (Investment Company Act, Investment Advisers Act, AIFMD, UCITS, OEICS etc.)
- Strong technical legal and commercial skills and experience advising portfolio managers.
- Ability to oversee and effectively manage external counsel and internal stakeholders.
- Strong organisation and communication skills.
